One Khata - Terms & Conditions

Vishwalaya Creations Pvt Ltd ("The Company") owns and operates website / mobile application "One Khata App" ("The App") available on Google Play Store and other similar/equivalent operating platforms/app stores and also operates a website https://www.onekhata.app ("The Website"); The App and The website together called as "The Platform";

This Agreement constitutes a binding legal contract between The Company and User (See below) or any end-user(See below) of the service (collectively, “you”).

You acknowledge, represent and agree that you (a) have required legal capacity and authority to agree and bind yourself to these Terms, (b) are 18 (eighteen) years of age or above, and (c) an Indian resident. If you represent an entity, organization, company or any other legal person, you confirm and represent that you have the necessary power and authority to bind such entity, organization, company or legal person to these Terms.

These Terms also include our privacy policy, available at (“Privacy Policy”) and guidelines, rules, supplementary terms, policies, or disclaimers made available or issued by the Platform from time to time which includes both implicit and explicit. By continuing to access or use the Platform, or any Service on the Platform, you agree and you accept the Terms.

Further, you understand that the Platform is intended for the use of Indian residents and of legal age only and by your continuing access and/use of the Platform shall be construed as a deemed declaration that you are an Indian resident and that you are of legal age (18 years or above).

By using the Services, you agree that you have read, understood, and are bound by these Terms, and that you comply with the requirements listed herein. If you do not agree to all of these Terms or comply with the requirements herein, please do not access the Platform or use the Services.

The Platform - OneKhata Payroll To Businesses / Organization / Institutes with more 3 employees (“Users”). (i) Provides an digital register of Staff, Staff salary. (ii) Staff attendance, Work Timings, Leaves & Holidays (iii) Generate salary-slips & Share etc.., (iv) Assign / Manage Tasks Their staff can (v) Mark their attendance, (vi) Apply for Leaves (vii) View/Download Salary Slips. (viii) Task Management (collectively, “Services”) For the purposes of this clause, Services would include any other future services (In-line with the HR, HRMS & Payroll related) Company provides/proposes to provide.

The Platform - OneKhata Groups To Businesses / Organization / Institutes / Individuals (“Users”) with more 10 subsribers. (i) Digital Book-keeping, Accounts Book, Ledger Book, Record Book. Where in users can record their entries manually. (ii) OneKhata Groups is a Productivity, Organizer application. It does NOT provide any online payments/collections functionality itself. (iii) It includes basic accounting functionality which helps the users to mark their transactions as Credits, Debits, Consilidate, Reconcile with-in the app or using an excel sheet etc., (iv) It works as a tool to better organize the financial records of a business. (v) It itself, Does NOT offer any financial services. (collectively, “Services”) For the purposes of this clause, Services would include any other future services (In-line with the Ledgers, Book-keeping, Accounting) Company provides/proposes to provide. Suitable for businesses with Monthly / Periodic recurring customers / subscribers. Categories includes but not limited to: Music & Dance Academies, Yoga Fitneness Centers, Milkman, News Paper etc., Services would include any other future services (In-line with the Groups, Ledgers, Accounting services) the Company provides/proposes to provide.

The Platform - OneKhata School To Schools / Colleges / Institutes / Coaches / Trainers / Creches (“Users”) with more 20 students. (i) provides an online digital book-keeping / accounts book / ledger book / record book wherein the users (In case of a business entity: including their officers, associates, successors, assigns, licensors, employees, directors, agents, and representatives - who all are given access to app by using the admin account created on behalf of the entity) (“Users”), can record their ledger / account entries with their respective students. Ex: Monthly Fee, Annaul Fee etc., (ii) Record, maintain student Attendance records (iii) Maintaning Lesson Planning & Lesson Objectives (iv) Manage their Staff and Payroll as listed above in "The Platform - OneKhata Payroll" section. (collectively, “Services”). For the purposes of this clause, Services would include any other future services (In-line with the School Administration / Management) the Company provides/proposes to provide.

The Platform - OneKhata CRM To Businesses (“Users”) with more 500 customers / leads or with more than 5 staff working on Marketing & Sales. (i) OneKhata helps to maintain their leads, prospects, customers information in more organized way. (ii) Through manual entries keeps track of the activities & engagements. (iii) It's Business collaboration tool. Customers / Prospects / Leads can not login/update/share any thing. We DO NOT use this data for own purposes. It is strictly customer's data. (iv) Document store helps them to keep their documents more organized. (iv) OneKhata helps them to Organize/visualize their sales/service pipe-line better. (v) Does NOT offer any marketing or sales services. (vi) Does NOT offer any interaction mechanism between businesses and their customers. (vii) It is a business producvitity tool. Not a marketing mechanism. (collectively, “Services”) For the purposes of this clause, Services would include any other future services (In-line with the CRM) Company provides/proposes to provide.

The Platform - OneKhata This is the enterprise version of OneKhata, in which all the functionalities listed in OneKhata Payroll, Groups, School and CRM are available in one application. Suitable for Medium Businesses with multiple Staff, Customers to be more organized.

  1. Access to the services

    We may modify the functionality, features of the application/service as part of our continuous improvements and growth strategy of the platform. We will also provide reasonable advance notice wherever we deem it is applicable, if any material features are removed.

    The Company reserves the right at any time to add, modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without cause. The Company shall not be liable for any such addition, modification, suspension or discontinuation of the Services.

  2. Registration and Use of the Services

    You agree that you would use these services only for the purpose what it is intended for, and not for any other means including malpractice, gambling, money-laundering, sale/purchase of prohibited items as per list of applicable laws, rules and regulation of Govt of India and the respective state government.

  3. Communication, Code of Conduct, Ethics

    In addition to complying with the other terms, conditions and restrictions set forth below in this Agreement, You agree to use the services in fair usage terms as communicated by us from time to time. Further, in Your use of the Services You agree not to (a) license, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time-share or otherwise commercially exploit or make the Services available to any third party, other than authorized Agents and End-Users; (b) use the Services to Process data on behalf of any third party other than Agents or End-Users; (c) modify, adapt, or hack the Services or otherwise attempt to gain unauthorized access to the Services or related systems or networks; (d) falsely imply any sponsorship or association with The Services or the Company; (e) use the Services in any unlawful manner, including, but not limited to, violation of any person's privacy rights; (f) use the Services to send unsolicited or unauthorized bulk mail, junk mail, spam, other forms of duplicative or unsolicited messages or messages that directly or indirectly support pyramid schemes or other fraudulent activities; (g) use the Services to store or transmit files, materials, data, text, audio, video, images or other content that infringes on any person's intellectual property rights; (h) use the Services in any manner that interferes with or disrupts the integrity or performance of the Services and its components; (i) attempt to decipher, decompile, reverse engineer or otherwise discover the source code of any Software making up the Services; (j) use the Services to knowingly post, transmit, upload, link to, send or store any content that is (or directly or indirectly supports activities that are) unlawful, racist, hateful, abusive, libelous, obscene, or discriminatory; (k) use the Services to knowingly post, transmit, upload, link to, send or store any Malicious Software; (l) use or launch any automated system that accesses a Service (i.e., bot) in a manner that sends more request messages to a Service server in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser or mobile application; (m) use inappropriate language/terms which may be abusive to any other staff, Subscribers, Potential subscribers or (n) attempt to use or use the Services in violation of this Agreement.

  4. Fees / Pricing, Invoices

    Certain features are limited only to users who have subscribed to one of our paid plans. Our pricing plans may vary from time to time which would always be available in your account details. Pricing is applicable to you, based on the time you subscribe to an available paid plan at that time. Any change in existing subscribed paid plans would be communicated to you directly through email, SMS, in-app messaging well in advance for you to decide to upgrade/downgrade/cancel your paid plans. Invoices would be generated on each payment / renewal and is also available in the account statement available in the application.

    As on today, the paid plans available are: Monthly: Rs 49, billed monthly; Quarterly: Rs 99, billed quarterly; Annual: Rs 299, billed yearly;

  5. Your consent to eNach / Subscriptions / Recurring Payments

    You understand the concept of auto-debit/subscriptions/recurring payments/eNach mandate and the whole concept through Bank/DebitCard/UPI authorization. You also understand various charged involved whenever a mandate is not honored, and you agree to obey the rules set by us in this regard to ensure smooth processing of eNach transactions with regards to your paid subscriptions. You reserve the right to cancel your subscription at any time - which is applicable after the current term.

  6. Term, Cancellation, Suspension, Refunds

    Term: The time for which you have subscribed to a paid plan. Paid plans are auto-renewable, you have the right to cancel auto-renewal as per your requirement, at any time - which is applicable after the current term.

    Cancellation: You have the right to cancel your subscription, at any time - which is applicable after the current term.

    Suspension: If you have subscribed to a paid plan, but failed to make required payments afterwards then as per the policy, your subscription/account may be suspended till all the dues including penalties and charges are cleared in full.

    Refunds: No refunds are allowed / possible on the plans you have purchased and paid, you have access to the services till the end of the Term.

    Termination: We reserve the right to terminate the subscription with immediate effect if found in violation of this agreement. Further, you agree that all these claims, damages or losses arising from or relating to this termination because of the violation of the agreement will be borne by you. Also, there shall be no refund of any fees/charges under this agreement for any reason whatsoever.

  7. Our right to demand additional documentation

    We reserve the right to demand for any additional documentation/hard copies with regards to your KYC, Business KYC or Letter of Authorization to avail our services as we may deem necessary from time to time. You agree to provide all such documents within reasonable time, failure to do so would result in violation of this agreement and your account is subject to suspension or termination as per our internal policy.

  8. Fair Usage Policy

    Our intention is to provide a fair service to all the stakeholders, not otherwise. We promote goodness and encourage fair-usage. As per this agreement, as a User you agree to all the rules and regulations set by us in this regard. Our decision is final and binding.

  9. Share, Refer Policy

    You must respect the privacy of your end-users and contacts. Unwanted, unsolicited calls/messages/emails are not welcomed by many. You acknowledge and agree that you have obtained prior consent from the end-user/contact before sharing their contact with us. If there is any privacy violation in this regard - please understand that it is on you.

  10. Your consent to eSign

    You have read, understood that The Information Technology Act (IT Act 2000, 2008) granted eSignatures the same legal status as handwritten signatures, and you acknowledge that all the eSignatures signed using your Aadhaar / PAN based OTPs are legally valid. You are also authorizing us to process, record and store eSignatures as long as the digital assets/documents are needed by the Company. We may request your eSignature only when necessary.

  11. Your duties, responsibilities and Compliance

    You understand and agree that it is your responsibility to keep the company informed about any changes in communication details like Mobile, WhatsApp, Email, also all Business information like contact numbers, address etc.,, and keep the information up-to-date in the application itself. We may store this information and preserve it for auditing purposes, if necessary.

    The User shall be solely responsible for ensuring compliance with applicable laws and shall be solely liable for any liability that may arise due to a breach of its obligations in this regard.

    The User shall extend all cooperation to the Company in its defense of any proceedings that may be initiated against it due to a breach of the User’s obligations or covenants under these Terms.

    While the Company uses commercially reasonable efforts to provide Users with a daily backup of their Transaction Information, Users should regularly and independently save, backup, and archive such Transaction Information.

    Users who are expected to conduct proper research to ensure that the goods and services they send payment links for are in compliance with all applicable laws and we encourage users to cross-check before generating payment links for prohibited content may result in the suspension or removal of the user's account.

    The User shall not use the Services for / in furtherance of any sale or supply of prohibited products or services including but not limited to: 1. sale of regulated goods; 2. sale of counterfeit, replicas and pirated goods and goods infringing any intellectual property rights including pirated recordings or copies of unauthorized copyrighted materials whether in electronic or physical form or any other medium which may not be in existence at present; 3. sale of tobacco and cigarettes which includes cigarettes, cigars, chewing tobacco, and related products; 4. sale of liquor or any narcotic drugs and psychotropic substances; 5. sale / supply of any good or service which may not be in public interest; 6. gambling or other prohibited activities; and 7. sale / supply of goods or services which results in non-compliance of any applicable law.

    As per law of the land you may need to adhere to certain compliance norms set by the Govt from time to time. You understand and acknowledge and agree that it is your responsibility to adhere to all the compliance norms as required by Govt of India, Respective state government and other local govt bodies from time to time.

    The User shall be solely responsible for compliance with all the applicable laws including without limitation the Prevention of Money Laundering Act, 2002 and the rules made thereunder. The Company shall not be responsible for any claims or liability or losses that may arise due to non-compliance of the anti-money laundering laws in India.

  12. Your data, Ownership and Security of the data

    Your profile data, business information, ledger entries, contact information etc., are owned by you. Any communication/notes you may store against your accounts/end-user accounts is also owned by you.

    We use SSL encryption while transmitting data between your device and our servers. Some portion of your data may be required by us for Legal, Compliance and Regulatory purposes. Ownership of such data is considered as Platform and can not be deleted from the System. We assure you that this kind of information will not be used for any other purposes.

    You have the right to delete all other data you own at any time and it is erased from our systems permanently.

  13. Consent to use data

    You agree that the Company and any third-party service providers it engages, may, in accordance with its Privacy Policy, collect and use your information and technical data and related information.

    The Company may use information and data pertaining to your use of the Services for analytics, trends’ identification, and purposes of statistics to further enhance the effectiveness and efficiency of the Platform.

    Subject to applicable laws, the Company may be directed by law enforcement agencies or the government and cocerned bodies to disclose data in relation to Users in connection with criminal proceedings. You understand and agree that in such instances, the Company shall have the right to share such data with relevant agencies or bodies.

  14. Platform’s Data, Ownership and Security of the data

    Some portion of the data/information you shared with us like your contact number, business entity information etc., is required by us for Legal, Compliance and Regulatory purposes. Ownership of such data is considered as Platform and can not be deleted from the System.

    Paid Plans Pricing and Transactional information related to these payments is owned by the Platform.

    KYC Documents, eSigned documents, if any are owned by the Platform and can not be deleted from the System.

  15. Beta Services

    From time to time, We may make Beta Services available to You at no charge. You may choose to try such Beta Services at Your sole discretion. Beta Services are intended for evaluation purposes and not for production use, are not supported, and may subject to Supplemental Terms that will be presented to You. Beta Services are not considered "Services" under this Agreement; however, all restrictions, Our reservation of rights and Your obligations concerning the Service. Unless otherwise stated or communicated to You, any Beta Services trial period will expire upon the date that a version of the Beta Services becomes generally available without the applicable Beta Services designation. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.

  16. IP Rights

    We retain all rights, title and interest in any Intellectual Property Rights. You MUST NOT use the App or Company Marks in a manner unless permitted by us in writing.

  17. Indemnity

    You shall indemnify, defend at the Company’s option, and hold the Company, its parent companies, subsidiaries, affiliates, and their officers, associates, successors, assigns, licensors, employees, directors, agents, and representatives, harmless from and against any claim, demand, lawsuits, judicial proceeding, losses, liabilities, damages and costs (including, without limitation, from all damages, liabilities, settlements, costs and attorneys’ fees) due to or arising out of your access to the Services, use of the Services, violation of these Terms or any infringement by any third party who may use your account with the Company, of these Terms.

  18. Limitation of liability

    UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE OR OTHERWISE) WILL EITHER PARTY TO THIS AGREEMENT, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, SUPPLIERS OR LICENSORS BE LIABLE TO THE OTHER PARTY OR ANY AFFILIATE FOR ANY LOST PROFITS, LOSS OF REVENUE, LOST SALES OR BUSINESS, LOST DATA (BEING DATA LOST IN THE COURSE OF TRANSMISSION VIA YOUR SYSTEMS OR OVER THE INTERNET THROUGH NO FAULT OF THE COMPANY), BUSINESS INTERRUPTION, LOSS OF GOODWILL, COSTS OF COVER OR REPLACEMENT, OR FOR ANY TYPE OF INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGES, OR ANY OTHER INDIRECT LOSS OR DAMAGES INCURRED BY THE OTHER PARTY OR ANY AFFILIATE IN CONNECTION WITH THIS AGREEMENT, THE SERVICES OR CONSULTING SERVICES, REGARDLESS OF WHETHER SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN SUCH DAMAGES. FURTHER, ANY LIABILITY OF THE COMPANY FOR ANY AND ALL CLAIMS UNDER THIS AGREEMENT SHALL NOT EXCEED PAYMENT RECEIVED BY THE COMPANY FROM THE SUBSCRIBER UNDER THIS AGREEMENT FOR THE IMMEDIATE PRECEDING ONE(1) MONTHS FROM THE DATE OF SUCH CLAIM ARISES.

  19. Anti-Corruption, malpractices

    You agree that You have not received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from any of Our employees or agents in connection with this Agreement. Reasonable gifts and entertainment provided in the ordinary course of business do not violate the above restriction. If You learn of any violation of the above restriction, You will use reasonable efforts to promptly notify Our Legal Department at help@onekhata.app

  20. Right to amend/modify the Agreement

    The Company reserves the right to make changes to these Terms by making the new/updated version available and your continued use and/or continued installation of the Platform shall indicate your agreement to such changes/updates. Accordingly, we encourage you to kindly continue to review the Terms whenever accessing or using the Platform. We may try our best to notify such changes in advance wherever and whenever possible, but please understand the responsibility of reviewing these Terms in on You.
